$1.50 A Day Plans – Membership Terms and Conditions

These Wellness Plan Membership Terms and Conditions (“Terms”) govern all Wellness Plans offered by CareVet (“CareVet”) to individuals (each, a “Member”) who sign up for a Wellness Plan Membership Subscription (“Membership”) at any CareVet location.

A. Subscription Term and Renewal. Each Membership is for a 12-month period beginning on the date of Member’s first payment for the Membership (“Start Date”) and ending one year thereafter (the “Initial Term”). The Initial Term will be automatically extended for one-year periods (each, a “Renewal Term”) unless one party gives the other party notice of non-renewal (which notice can be submitted on our website) prior to the conclusion of the Initial Term or Renewal Term, as applicable. The Initial Term and Renewal Term(s) shall collectively be referred to as the “Term” and shall be subject to the termination provisions in these Terms. Before each Renewal Term, CareVet will send the Member a reminder notice with the renewal terms. Including any changes to pricing or benefits, at least 30 days (but no more than 40 days) before the applicable Renewal Term. CareVet does not guarantee the continuation of any specific product discount, pricing level, manufacturer participation, or Member Pricing Benefit during any Renewal Term.

B. Payment. A Member’s first payment, including the initial plan start-up fee, will be processed on the day they complete and submit the enrollment form for the Membership with their local CareVet location. Beginning in month two of the Membership, the Member’s credit card will be automatically charged the applicable Monthly Fee on the 15th of each month for the duration of the Membership. Should a Member’s automatic payment fail to process for any reason, Member authorizes CareVet and its payment processor to reattempt payment multiple times within a 30-day period. By enrolling in a Wellness Plan, the Member expressly authorizes CareVet to process their credit card as described above for the duration of the Membership. This authorization will remain in effect unless the Membership is terminated, suspended, or otherwise cancelled in accordance with the Termination provision below. The Member agrees to promptly notify CareVet of any change to their payment information. CareVet may suspend Membership benefits for delinquent accounts and may require payment of all outstanding fees before restoring Membership benefits. Member is responsible for all applicable sales taxes and similar governmental charges imposed in connection with purchases made through the Membership.

C. Member Pricing Benefits.

(i) “Member Pricing Benefit” means any discounted product pricing, special member pricing, wholesale-inspired pricing, near-cost pricing, promotional pricing, subscription discounts, rebates, credits, or other purchasing benefit that CareVet may elect to make available to Members from time to time.

(ii) No Guaranteed Product Pricing. CareVet may offer Member Pricing Benefits on designated products from time to time. Member Pricing Benefits are optional Membership benefits and are not guaranteed. Product availability, pricing, discounts, participating manufacturers, participating distributors, participating vendors, and eligible products may change at any time.

(iii) No “At Cost” Representation. Any references to wholesale pricing, near-cost pricing, at-cost pricing, member pricing, discounted pricing, or similar terminology are descriptive only. CareVet does not represent or guarantee that any product will be sold at CareVet’s actual acquisition cost or at any specific discount level.

(iv) Right to Modify Products. CareVet may add, remove, replace, suspend, or modify eligible products, participating vendors, participating manufacturers, program features, and Member Pricing Benefits at any time.

(v) Inventory Disclaimer. Product availability is not guaranteed. Certain products, brands, package sizes, formulations, or manufacturers may become unavailable, discontinued, restricted, delayed, or otherwise unavailable.

(vi) No Cash Value. Member Pricing Benefits possess no cash value, are not redeemable for cash or credits, and cannot be exchanged for alternative products, services, or discounts except as expressly determined by CareVet.

(vii) Enrolled Pet. Membership benefits apply only to the enrolled pet listed on the Enrollment Form unless otherwise specifically authorized by CareVet.

D. Usage Limitation. Unlimited exams are subject to reasonable usage and availability to ensure quality care for all clients.

E. Modification to Terms/Third Party Manufacturers. CareVet may update these Terms or adjust the fees at any time in its sole discretion. Upon notice of the change, Member reserves the right to terminate and/or not renew the Wellness Plan Membership by notifying CareVet of the same (which notice can be submitted on CareVet’s website). Certain manufacturers, suppliers, distributors, vendors, and third parties may impose pricing, advertising, promotional, inventory, supply, distribution, or other restrictions affecting products available through the Membership. CareVet reserves the right to modify, limit, or discontinue any Member Pricing Benefit as necessary to comply with supplier requirements, manufacturer programs, contractual obligations, legal requirements, or operational needs.

F. Termination. A Member may terminate their Membership at any time by visiting CareVet’s website. If a Member terminates their Membership, the Membership will remain active for the remainder of the current Term and the Member will be charged the monthly fee for the remainder of the current Term, in accordance with these Terms. CareVet may terminate or cancel the Wellness Plan Membership in its sole discretion. In the event of a termination or cancellation of the Wellness Plan Membership, or in the event the applicable CareVet location closes, CareVet shall have no obligation to provide, and the Member shall not be entitled to receive, any compensation in any form for any dollars or services remaining in the Member’s account as of the date of such closure, termination or cancellation. Upon termination by CareVet other than for Member misconduct, CareVet shall honor previously earned Membership benefits through the effective date of termination. CareVet may suspend or terminate access to Member Pricing Benefits if CareVet reasonably believes the Membership has been used for resale activity, commercial purchasing, abuse of Membership benefits, fraudulent activity, excessive purchasing inconsistent with normal household use, or violation of these Terms.

G. Miscellaneous. These Terms are subject to the laws of the state of Missouri, and such applicable law will prevail in the event of any conflict with these Terms. If any term or provision of these Terms are deemed to be invalid, illegal, or unenforceable, all other terms and provisions will remain in full force and effect and such invalidity, illegality or unenforceability will not invalidate or render unenforceable such term or provision in any other jurisdiction. This constitutes the entire agreement between the parties and supersedes all prior or contemporaneous proposals, agreements, representations, statements, negotiations and understandings, whether oral or written, between the parties concerning the matters set forth in these Terms. Any action arising from these Terms shall be brought exclusively in the state or federal courts located in the City of St. Louis, Missouri.

H. Independent Judgment/No Guarantees. Nothing in the Membership shall interfere with or override the independent professional judgment of CareVet veterinarians or staff. CareVet reserves the right to deny, discontinue, modify, or recommend against any product, treatment, medication, prescription, service, or recommendation based upon professional medical judgment. The Membership is not insurance, a prepaid veterinary service contract, or a guarantee of future veterinary care. The Membership is intended solely to provide access to certain Membership benefits and discounts and is not intended to guarantee any particular medical outcome, treatment result, product availability, or level of cost savings.

I. Limitation of Liability. EXCEPT WHERE PROHIBITED BY APPLICABLE LAW AND TO THE FULLEST EXTENT PERMITTED BY LAW, CAREVET’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE MEMBERSHIP SHALL NOT EXCEED THE TOTAL MEMBERSHIP FEES ACTUALLY PAID BY MEMBER DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. The parties acknowledge and agree that the limitations of liability, exclusions of damages, disclaimers, and other risk allocation provisions contained in these Terms are material terms of the Membership and form an essential basis of the bargain between the parties. The Member acknowledges that the Membership fees have been established in reliance upon such limitations and that CareVet would not offer the Membership on the same terms without such limitations. To the fullest extent permitted by applicable law, the limitations and exclusions set forth in these Terms shall apply regardless of the form of action, whether in contract, tort (including negligence), statute, strict liability, or otherwise.

J. Non-Transferable. Membership is only valid at the local CareVet location where the Member signed up for the Membership and may not be transferred or otherwise redeemed at any other CareVet location. Membership benefits, including Member Pricing Benefits, are personal to the Member and the enrolled pet, are non-transferable, and may not be assigned, transferred, shared, brokered, or resold. Products purchased through the Membership are intended solely for the personal use of the Member and the enrolled pet and may not be purchased for resale, redistribution, or commercial purposes.

K. Force Majeure. CareVet shall not be liable for delays, interruptions, or inability to provide Membership benefits resulting from circumstances beyond CareVet’s reasonable control, including inventory shortages, supplier issues, manufacturer actions, product discontinuations, transportation disruptions, technology failures, labor disputes, governmental action, or force majeure events.
